Workday shares had their best single trading day in a decade on August 13 after Reuters reported that private equity firm Silver Lake is in talks to take the human resources and finance software vendor private, in a deal that could rank among the largest software buyouts on record. The report lands in the middle of a year of steady consolidation across HR and payroll technology, and it puts a hard number on how much AI disruption fears have already cut into legacy HCM valuations.
The Silver Lake report
Reuters reported on August 13 that Silver Lake has held talks for several months about acquiring Workday, whose market value stood at about $43 billion before the news broke. There is no signed agreement and no guarantee a deal happens; sources cautioned the talks could still collapse, and Workday and Silver Lake both declined to comment when CNBC and Bloomberg sought confirmation.
The market reaction was immediate. Bloomberg reported Workday shares up 19% to $209.20 in afternoon trading. CNBC recorded an intraday spike as high as 25% before a volatility halt, with the stock finishing the session up 17.78% at $206.45, its largest one-day gain in ten years, pushing Workday's market value to nearly $51 billion by the close.
The rally mattered because of where the stock was starting from. Workday shares had fallen roughly 15% since the start of 2026 and sat more than 40% below their 2024 peak, as reported by TheStreet, part of a broader software selloff driven by investor concern that AI agents would erode per-seat licensing across enterprise applications. A private equity firm willing to underwrite a leveraged buyout of that size is a bet that Workday's cash flows are durable enough to carry the debt, regardless of how the market has been pricing the AI risk.
A year of HCM deal-making
The Silver Lake talks are not the only consolidation move in the category this year. Workday itself closed its acquisition of Sana, an AI-native learning and agent platform, and on July 22 announced that Workday Learning, powered by Sana, is now generally available and the default learning offering for new Workday HCM customers, according to Workday's own newsroom.
UKG announced on December 12, 2025 that it had agreed to acquire Inova Payroll, a Nashville-based payroll and HCM provider serving more than 4,000 small and mid-sized businesses and the largest reseller of the UKG Ready suite, per UKG's press release. The deal, which closed in early 2026, extends UKG's outsourced HR and benefits brokerage reach into the SMB segment it has historically underserved directly.
Sage moved differently, building rather than buying. On April 23, 2026, Sage launched Sage HCM, a new mid-market HR, payroll and finance product integrated with Sage Intacct, along with an industry-specific version for construction and an HCM Agent designed to flag compliance risks during payroll processing, according to Sage's press release.
What the pattern shows
Three different vendors, three different moves, one shared instinct: nobody in HCM is standing still on AI, even as the market has spent the year discounting the category's public equities. Workday bought a learning and agent platform outright. UKG bought distribution and services depth in a segment it wanted faster access to. Sage built its own AI agent into a new product line rather than acquire one. None of that activity slowed down while Workday's stock was falling 15% this year, which is the detail that makes the Silver Lake talks notable rather than surprising. The public market was pricing in disruption risk for legacy HCM vendors at the same time those vendors kept spending on the technology meant to address it.
If the Silver Lake deal happens, it would be one of the largest software take-privates on record, alongside comparably sized deals like IBM's $34 billion purchase of Red Hat in 2019. A deal of that size would also test whether a private equity buyer sees more value in restructuring Workday away from public market pressure than the market currently assigns it, at a moment when the buyer's own portfolio thesis is that AI fears in enterprise software have outrun the underlying fundamentals.
What to watch next
Workday reports fiscal second-quarter earnings on August 21, its first public forum since the report broke. Analysts will be listening for any management comment on the talks, even a non-denial, and for guidance that either supports or undercuts the "AI fears overshot" reading of the stock's rebound. No party has confirmed a deal exists, and Reuters' sourcing describes the talks as ongoing rather than concluded, so the more concrete signal to watch is whether a definitive agreement or an official denial follows in the weeks after that call.
