What happened
Perfect Corp, the New Taipei-based SaaS company behind the YouCam suite of AI and AR beauty and fashion tools, signed a definitive merger agreement on July 10, 2026, to go private. The buyer is ProjectNY, a Cayman Islands entity controlled by Perfect Corp founder and CEO Alice Chang. Shareholders will receive $2.00 per share in cash, a 48.1% premium over the stock's closing price on March 17, 2026, the last trading day before Perfect Corp disclosed it had received a preliminary take-private proposal.
The transaction was disclosed in a Form 6-K filed with the U.S. Securities and Exchange Commission. Under the agreed structure, ProjectNY will merge into Perfect Corp, which survives as a privately held company. Closing is expected in the fourth quarter of 2026, subject to approval from at least two-thirds of votes cast at an extraordinary general shareholder meeting and other customary conditions.
What Perfect Corp actually sells
Perfect Corp licenses AI and AR virtual try-on, skin diagnostic and generative styling technology to more than 800 beauty and fashion brands, embedding the tools directly into retailers' own apps and sites rather than only running its own consumer apps. That B2B licensing business, alongside consumer apps like YouCam Makeup, is what makes this a SaaS story rather than a pure consumer-app story: enterprise brand customers pay recurring fees to integrate Perfect Corp's technology into their commerce platforms.
Why a founder-led buyout, and why now
Going private removes Perfect Corp from quarterly public-market scrutiny at a moment when it is investing in generative AI features, according to the company's own framing of the deal. Public SaaS companies making heavy R&D bets on AI features have faced volatile investor reactions this year as markets try to separate durable AI-driven revenue growth from speculative spend. A founder-controlled private structure gives Chang room to fund that R&D without a public earnings cycle forcing near-term trade-offs.
